Terms of Service
1. Definitions
1.1“Aspyre Labs,” “we,” “us,” or “our” means Aspyre Labs LLC, a Wyoming limited liability company with a registered address at 30 N Gould St #Ste R, Sheridan, WY 82801, USA, the operator of the Proxploy website and the provider of the Proxploy software.
1.2“Proxploy,” the “Software,” or the “Service” means the self-hosted Proxploy management platform, the Proxploy website at proxploy.com, and any related documentation and services we make available.
1.3“You” or “your” means the individual or entity that accesses or uses the Service.
2. Acceptance and eligibility
2.1By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2.2You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Description of the Service
3.1Proxploy is self-hosted software that you install and operate on your own infrastructure to manage your own Proxmox VE hosts. We do not host, operate, or have access to your installation.
3.2The website provides information about Proxploy and a way to contact us. We may modify, suspend, or discontinue any part of the Service at any time, and are not liable to you or any third party for doing so.
4. Availability
4.1Proxploy 1.0 is published and available to install. These Terms govern your use of this website and of the Software.
5. License grant
5.1Aspyre Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and run the Software on infrastructure you control, for your own purposes. Free (Homelab) use is limited to a single Proxmox host; paid tiers are governed by the plan you purchase under Section 14.
5.2The Software is licensed, not sold. Except for the rights expressly granted here, Aspyre Labs reserves all right, title, and interest in and to the Software.
6. Acceptable use and restrictions
6.1You agree not to:
- copy, modify, reverse engineer, decompile, or create derivative works of the Software, except to the extent this restriction is prohibited by applicable law;
- remove or alter any proprietary notices, or attempt to circumvent license, security, or access controls;
- resell, rent, sublicense, or offer the Software as a service to third parties without our written permission; or
- use the Service to violate any law, infringe any third-party right, or transmit unlawful or harmful content.
7. Your infrastructure and data
7.1The Software runs on infrastructure you control and connects to Proxmox hosts and credentials you configure. We do not have access to your hosts, your credentials, or the data your installation processes. You are responsible for securing your own infrastructure and credentials.
8. Intellectual property
8.1The Software, the website, and all associated content, trademarks, and logos, including “Proxploy”, are owned by or licensed to Aspyre Labs and are protected by intellectual property laws.
8.2If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
9. Disclaimers
9.1THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
10. Limitation of liability
10.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASPYRE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
11. Indemnification
11.1You agree to indemnify and hold harmless Aspyre Labs and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your breach of these Terms.
12. Term and termination
12.1These Terms apply while you use the Service. You may stop using the Service at any time.
12.2We may suspend or terminate your access at any time if you breach these Terms. Sections that by their nature should survive, including Sections 7, 8, 9, 10, 11, and any amounts already due under Section 14, will survive termination.
13. Changes to these Terms
13.1We may update these Terms from time to time. If we make material changes, we will update this page and revise the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Paid plans, billing and refunds
14.1Paid Proxploy licenses are sold through Paddle.com Market Ltd (“Paddle”), which acts as the merchant and seller of record for those transactions. Your purchase is therefore also subject to Paddle’s own buyer terms, and Paddle, not Aspyre Labs, handles payment processing, invoicing, and the collection and remittance of any applicable sales tax or VAT.
14.2Paid plans are billed in advance as an annual subscription and renew automatically at the then-current price until cancelled. You may cancel at any time, effective at the end of the paid period; cancelling stops future renewals and does not by itself entitle you to a refund of the current period, except as set out in our Refund Policy.
14.3We may change the price of a plan. Any price change applies from your next renewal, and we will give you notice before it takes effect so you can cancel first if you do not wish to continue.
14.4Refunds are governed by our Refund Policy, which forms part of these Terms.
14.5If a payment fails or a charge is reversed, we may suspend the paid features of your license until the amount due is settled. Proxploy is self-hosted, so suspension of a paid license does not remove the Software from your infrastructure or affect functionality available on the free tier.
15. Governing law and disputes
15.1These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. You and Aspyre Labs submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA for the resolution of any dispute arising out of or relating to these Terms or the Service.
